1. ABOUT US

Physician Performance Lab ("Company," "we," "our," or "us") provides executive coaching services for physicians and healthcare professionals through our website at www.physicianperformancelab.com (the "Site") and through direct engagements. These Terms and Conditions ("Terms") govern your use of the Site and any coaching services you purchase or engage with from us.

2. ACCEPTANCE OF TERMS

By visiting our Site, submitting an inquiry, booking a consultation, or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and agree to be bound by these Terms. If you are accessing the Site or services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. SERVICES

Physician Performance Lab offers executive coaching, professional development consulting, and related services for physicians and healthcare leaders ("Services"). The specific scope, format, duration, and fees for Services are outlined in a separate agreement, proposal, or booking confirmation provided to each client.

We reserve the right to modify, suspend, or discontinue any Service at any time, with reasonable notice to existing clients where possible.

Important: Physician Performance Lab provides professional coaching and leadership development services. Coaching is not therapy, counseling, psychotherapy, or mental health treatment. Our Services do not constitute medical advice, medical care, psychological treatment, or legal or financial advice. If you need clinical mental health support or medical care, please consult a licensed healthcare provider.

4. COACHING RELATIONSHIP

Executive coaching is a collaborative, forward-focused professional relationship designed to support your goals, performance, and leadership development. You acknowledge and agree that:

  • Coaching outcomes depend significantly on your own engagement, effort, and follow-through.

  • We do not guarantee specific professional or personal results from coaching.

  • Coaching is distinct from and not a substitute for therapy, counseling, psychiatry, or any licensed clinical service.

  • Any information you share in sessions is held in confidence by us, except where disclosure is required by law or to prevent imminent harm.

5. BOOKINGS AND CONSULTATIONS

Discovery calls and initial consultations may be offered complimentary and are subject to availability. We reserve the right to decline or discontinue a coaching engagement at our discretion.

When you book an appointment through our scheduling tool, you agree to:

  • Provide accurate and complete information at the time of booking.

  • Attend at your scheduled time or provide sufficient advance notice if you need to cancel or reschedule (see Section 6 below).

  • Comply with any intake or preparation requirements we communicate to you in advance.

6. CANCELLATION AND RESCHEDULING

We understand that schedules change. Our standard cancellation policy is as follows:

  • Complimentary discovery calls: Please cancel or reschedule at least 24 hours in advance so that the time slot can be offered to others.

  • Paid coaching sessions: Cancellations made with at least 48 hours' notice will be rescheduled at no charge. Cancellations made with less than 48 hours' notice, or no-shows, may result in forfeiture of that session or a cancellation fee, as specified in your coaching agreement.

We reserve the right to cancel or reschedule sessions due to illness, emergency, or other circumstances beyond our control. In such cases, we will provide as much notice as possible and offer to reschedule at no penalty to you.

7. FEES AND PAYMENT

Fees for coaching services are as described in your individual coaching agreement, proposal, or booking confirmation. Unless otherwise agreed in writing:

  • Payment is due as specified in your coaching agreement (e.g., prior to session, upon invoice, or on a retainer schedule).

  • All fees are stated in U.S. dollars.

  • Fees are non-refundable except as expressly stated in your coaching agreement or as required by applicable law.

  • We reserve the right to adjust our fees at any time, with advance notice for existing engagements.

8. INTELLECTUAL PROPERTY

All content on this Site — including text, graphics, logos, images, audio, video, tools, and downloadable materials — is the property of Physician Performance Lab or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws.

You may view and download content from this Site for your own personal, non-commercial use only. You may not reproduce, distribute, modify, publicly display, or create derivative works from any content on this Site without our express written permission.

Any frameworks, methodologies, worksheets, or materials we share with you during coaching engagements remain our intellectual property and may not be reproduced or shared with third parties without our written consent, unless otherwise specified in your coaching agreement.

9. CONFIDENTIALITY

We treat information shared during coaching sessions as confidential and will not disclose it to third parties except:

  • With your express written consent.

  • As required by applicable law or court order.

  • When disclosure is necessary to prevent imminent harm to you or others.

We may use anonymized, non-identifying information about client experiences to improve our services, develop case studies, or create educational content, provided your identity is never disclosed.

10. USER CONDUCT

When using our Site or Services, you agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms.

  • Submit false, misleading, or fraudulent information through any form or booking tool.

  • Attempt to gain unauthorized access to any part of the Site or its systems.

  • Use automated tools, bots, or scrapers to collect content from the Site.

  • Post or transmit any harmful, offensive, or disruptive content.

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

11. DISCLAIMER OF WARRANTIES

Our Site and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • Any specific result, outcome, or improvement will be achieved through our coaching services.

  • Information on the Site is complete, accurate, or current.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Physician Performance Lab, its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Site or our Services — including, but not limited to, loss of revenue, loss of data, lost profits, or damage to professional reputation.

Our total liability to you for any claim arising from or related to our Services shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Physician Performance Lab and its owners, employees, contractors, and affiliates from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your infringement of any third-party rights.

14. THIRD-PARTY LINKS AND SERVICES

Our Site may contain links to third-party websites, tools, or services (such as scheduling platforms or payment processors). These links are provided for convenience only. 15. TESTIMONIALS AND RESULTS

Any testimonials, case studies, or results described on this Site reflect individual experiences and are not guarantees of similar outcomes. Coaching results vary depending on each client's background, engagement, goals, and effort.

16. GOVERNING LAW AND DISPUTES

These Terms are governed by and construed in accordance with the laws of the United States and the state in which Physician Performance Lab is registered, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or our Services that cannot be resolved informally shall first be submitted to non-binding mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration administered by a mutually agreed arbitration service, conducted in English. You waive any right to a jury trial or class action with respect to such disputes.

Nothing in this section prevents either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm.

17. CHANGES TO THESE TERMS

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you (for example, by email or a notice on our Site). Your continued use of the Site or Services after any update constitutes your acceptance of the revised Terms.

18. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

19. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Cookies Policy, and any individual coaching agreement you have entered into with us, constitute the entire agreement between you and Physician Performance Lab with respect to your use of the Site and our Services, and supersede all prior agreements and understandings.
